Distribution Services Terms

As Incorporated into the Membership Form

These DISTRIBUTION SERVICES TERMS (the “Distribution Terms”), as incorporated by reference in the Membership Form (the “Membership Form”), sets forth the agreement between Legacy Lyfe Distribution, LLC (“Legacy Distribution”) and you (the “Member”) with respect to Member’s access to certain products facilitated through services performed by Legacy Distribution. By executing the Membership Form and enrolling in the Program, you agree to be bound by the Distribution Terms. Legacy Distribution and Member are sometimes referred to herein individually as a “Party,” and collectively the “Parties.” All capitalized terms used herein and not otherwise defined shall have the same meanings provided to such capitalized terms in the Membership Form.

RECITALS

WHEREAS, Legacy Distribution provides: (1) payment intermediary services; (2) administrative and operational support services; (3) access to pharmacy educational resources; and (4) competitively-negotiated pricing for healthcare products and therapies (the “LD Services”), including, but not limited to the following:

  • Weight Management Solutions;

(e.g., GLP-1 therapies, peptides, and related products)

  • IV Micronutrients and Cosmeceuticals;

  • Hormone Replacement Therapies (HRT);

  • Sexual Wellness Therapies;

  • Peptides and Nutraceuticals;

  • Other Healthcare Products and Services supporting functional, regenerative and holistic medicine; and

WHEREAS, Member seeks access to the LD Services through its relationships with multiple pharmacies and other vendors (the “Suppliers”).

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

  1. Scope of Services. The role and responsibilities for each Party and the Suppliers shall be as follows:

    1. Legacy Distribution’s Role and Responsibilities. The LD Services shall be as follows:

      1. Payment Intermediary Services. Collection of monthly payments from Member for previous month’s orders and facilitation of payment processing with Suppliers to ensure timely fulfillment and avoid service disruptions;

      2. Administrative & Operational Support. Connecting Member to Suppliers for questions, complaints, and corrections related to transactions, in addition to the Suppliers’ operational tools, process optimization strategies, and peer feedback to enhance Member workflows;

      3. Competitive Pricing & Supplier Coordination. Negotiating competitive rates with Suppliers that the Member may be unable to achieve independently and maintain such relationships to ensure continued access to quality products and services; and

      4. Educational Resources and Peer Support. Connecting Member directly with Suppliers for access to their educational resources, including training materials, peer networking, and industry insights to support Member operations and patient care initiatives.

    2. Member’s Responsibilities. In exchange for receipt of and access to LD Services, the Member agrees to:

      1. Payment Obligations. Ensure sufficient funds are available and payable to Legacy Distribution upon delivery of monthly invoices for the previous month’s orders, and in accordance with applicable terms set forth in Section 2;

      2. Regulatory & Compliance Obligations. Be solely responsible for prescribing practices, licensing, patient eligibility verification, clinical decision-making, and regulatory compliance with all applicable federal, state, and local laws, and shall maintain proper documentation of all such items for audits and inspections as required by law;

      3. Record Requirements. Maintain accurate and complete patient-specific records and prescriber details; and

      4. Patient Information & Counseling: Provide patients with support and medical oversight for medication instructions, adverse reaction reporting, and any required recall procedures for compounded preparations.

    3. Supplier Responsibilities. Suppliers shall be responsible for:

      1. Dispensing & Fulfillment. Dispensing and delivering products in compliance with FDA, USP standards, and state laws governing compounding and dispensing;

      2. Product Quality & Safety. Ensuring strict quality assurance, Good Manufacturing Practices (GMP), and proper labeling and storage standards; and

      3. Compliance & Reporting. Product licensing, batch recalls, and adherence to regulatory requirements for controlled substances when applicable.

  2. Shipping and Handling.

    1. Delivery Methods. Suppliers shall ship orders without signature-required delivery via the most cost-effective shipping method, including, but not limited to FedEx, UPS, or other reliable carriers, unless the order indicates a “RUSH” prescription, in which case such order shall be shipped via FedEx Standard Overnight.

    2. Shipment Responsibility. Suppliers guarantee delivery through the date evidenced on the carrier’s proof of delivery, at which time, the Member and/or patient shall then assume full responsibility for the shipment.

    3. Lost, Stolen or Discarded Shipments. If a shipment is marked delivered, but the recipient claims non-receipt, the Member and/or patient assumes responsibility for all replacement costs.

    4. Damaged Products. If products are delivered damaged, unusable, or mishandled, no cost replacement by Legacy Distribution is contingent upon, (i) the Member or patient submitting a complaint to Legacy Distribution within forty-eight (48) hours of delivery, and (ii) attaching photographic evidence of the damage that clearly shows, (1) damage occurred during transit, and (2) was not caused by the Member or patient. Otherwise, the Member and/or patient will be responsible for product replacement costs.

    5. Handling Errors or Disputes. If a handling error or shipment discrepancy is identified, resolution by Legacy Distribution with the Supplier is contingent upon, (i) the Member submitting a complaint to Legacy Distribution within forty-eight (48) hours of delivery, and (ii) attaching sufficient documentation to evidence the handling error or shipment discrepancy. Otherwise, the Member and/or patient will be responsible for product replacement costs.

  3. Controlled Substance, Prescribing and Prescription Requirements.

    1. Controlled Substance Requirements. The Member acknowledges and agrees to the following:

      1. that they are a “registrant” or an “agent” of the Practice, as defined by the Drug Enforcement Administration (the “DEA”), in which they represent;

      2. that pursuant to 21 CFR §1301.71(a), the Member agrees to provide effective controls and procedures to guard against theft and diversion of controlled substances;

      3. that it is the Member’s responsibility to ensure proper prescribing, dispensing, and storage of controlled substances in accordance with 21 CFR §1301.75 and §1301.76, including the duty to report any significant loss or theft of controlled substances to the Practice and the DEA within one (1) business day of discovery; and

      4. that a violation of these security controls may result in immediate disciplinary action, up to and including termination of membership, and potential legal penalties.

    2. Prescribing Requirements. Member further agrees that each prescription written is based on:

      1. A recent and complete physical examination of the patient;

      2. The patient’s documented medical history and complaint; and

      3. A logical connection between the complaint, examination, and prescribed treatment.

    3. Prescription Tracking Requirements. Member further agrees that it shall comply with all state-specific Prescription Monitoring Programs (PMPs) and federal tracking requirements.

  4. Term and Termination. The Distribution Terms shall commence on the Effective Date and remain in effect for one (1) year (the “Term”).

    1. Automatic Renewal. The Distribution Terms shall automatically renew for successive one (1) year Terms unless either Party provides written notice of its intention not to renew at least thirty (30) days prior to the renewal date. 

    2. Termination.

      1. Without Cause: Either Party may terminate the Distribution Terms by delivering thirty (30) days prior written notice of termination to the other Party.

      2. For Cause: Either Party may terminate the Distribution Terms immediately upon delivering written notice of a non-compliance, material breach, or payment default to the other Party.

  5. Complete Agreement. This writing contains the entire Distribution Terms of the Parties with respect to the matters dealt with herein, supersedes all previous agreements between the Parties with respect to the matters dealt with herein, and there are no promises, understandings or agreements of any kind pertaining to the Distribution Terms other than stated herein.

  6. Governing Law. The Distribution Terms shall be governed by the laws of the Commonwealth of Pennsylvania without regard to its rules governing conflicts of law. Any dispute arising out of or relating to the Distribution Terms, the Membership Form, or Legacy Distribution’s provision of LD Services hereunder, shall be brought exclusively in a state or federal court of competent jurisdiction located in Allegheny County, Pennsylvania. The Parties further agree to comply with all provisions of law applicable to the Distribution Terms, the Membership Form, and the LD Services to be performed hereunder, and with all applicable rules, regulations orders, and directives of all governmental bodies having jurisdiction.

  7. No Assignment. Neither Party may voluntarily or involuntarily assign its rights or delegate its duties under the Distribution Terms to any person without the prior written consent of the other Party, except that Legacy Distribution may assign their rights or duties in the Distribution Terms to any affiliate of Legacy Distribution or any person or entity which acquires all or substantially all of the assets of Legacy Distribution.

  8. Changes to Terms and Conditions. Legacy Distribution reserves the right to update the Distribution Terms at its sole discretion from time to time, and any such updates shall become effective immediately upon posting. Members will be notified of any updates through direct email communication from Legacy Distribution. It is the Member's responsibility to review and become familiar with any updates. The Member's continued participation in the Program and continued use of LD Services after the effective date of any updates shall constitute acceptance of the revised Distribution Terms.
